This includes individuals who have agreed to become members of the Website by providing Registration Data (as defined hereinafter) while registering as a Registered User or Guest User. This registration is done using the computer systems of the Website, and by accepting this electronic version of the User Agreement, you allocate yourself a unique identification username (“User ID”) and password (“Password”) to become a Registered User or are identified as a Guest User by providing your phone number and email address. References to “we,” “us,” “our,” and “Propertytech.in” refer to Turquoise Urban Infrastructure Limited (Propertytech.in) and include its associates, affiliates, and subsidiaries.

The use of the Website is offered to you on the condition that you accept all terms, conditions, and notices contained in this User Agreement. Upon your “Acceptance,” this User Agreement shall become effective and binding upon you, along with any amendments made by the Website at its sole discretion and posted on the Website. You shall not claim the invalidity of this User Agreement solely on the grounds that it is concluded electronically. For these purposes, ‘Acceptance’ shall mean your affirmative action in clicking the ‘check box’ and the ‘continue’ button on the registration page, or clicking the ‘Invest Now’ button while transacting as a Guest User, or any action that reflects your use of the Website or the services provided by the Website, or any other actions that imply your acceptance. You further agree that this User Agreement is being concluded and executed in the State of Tamil Nadu.

Your use of the Website implies your agreement with the terms of the User Agreement. If you do not agree or are unwilling to be bound by the terms and conditions of this User Agreement and the Rules and Policies displayed on the Website, please do not click on the “check box,” the “continue” button, or the “Subscribe Now” button, and refrain from seeking access to or using the Website.

Amendments

When you utilize any of the services provided by us through the Website, including but not limited to Reviews, you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such services. These will be deemed incorporated into this User Agreement and considered an integral part of it. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of the User Agreement at any time without prior written notice to you. Indemnity

General

None of the provisions of the User Agreement shall be deemed to constitute a partnership or agency between you and Propertytech.in, and you shall have no authority to bind Propertytech.in in any manner whatsoever.

Notices

Except as explicitly stated otherwise, any notices shall be given by postal mail to Propertytech.in at Turquoise Urban Infrastructure Limited; #36/2, Arihant, RR Layout, R.S. Purum, Coimbatore-641002, Tamil Nadu, India (in the case of Propertytech.in) or to the email address you provide to us during the registration process (in your case). Notice shall be deemed given 24 hours after the email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid, and return receipt requested, to the address provided to us during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.

Severability

If any clause of the User Agreement is deemed invalid, void, or for any reason unenforceable, such clause shall be considered severable and shall not affect the validity and enforceability of the remaining clauses of the User Agreement.

Entire Agreement

This Agreement sets forth the entire understanding and agreement between you and Propertytech.in with respect to the subject matter hereof.

Assignment

You cannot assign or otherwise transfer this User Agreement, or any rights granted hereunder, to any third party. Propertytech.in may transfer its rights and obligations (also known as “assign”) under this Agreement without your prior express consent, provided that Propertytech.in assigns the Agreement on the same terms or terms that are no less advantageous to you.

Grievance Officer

In accordance with the Information Technology Act, 2000, and the rules made thereunder, the contact details of the Grievance Officer are published herewith: legal@propertytech.in.

Arbitration

If any dispute arises between you and Propertytech.in during your use of the Website or thereafter, in connection with the validity, interpretation, implementation, or alleged breach of any provision of the User Agreement, or the documents they incorporate by reference, the dispute shall be referred to a sole Arbitrator who shall be an independent and neutral third party identified by Propertytech.in. The place of arbitration shall be Coimbatore, Tamil Nadu, India. The arbitration proceedings shall be conducted in the English language and shall be governed by the Arbitration & Conciliation Act, 1996.

Governing Law

The User Agreement and the documents they incorporate by reference shall be governed and construed in accordance with the laws of India. Subject to the arbitration clause above, all disputes arising under this Agreement between you and Propertytech.in shall be subject to the exclusive jurisdiction of the courts at Coimbatore, Tamil Nadu, India.
